1. This Agreement is between the Client, and Systems Direct (the Company) whose registered office is Unit 2, Riverside, Waters Meeting Road, Bolton. This Agreement binds the customer, to complete the Order and pay promptly the amount outstanding.
2. The Customer or Client shall pay to Systems Direct Ltd either by cheque, credit card, cash, standing order or bankers order payments, the amount shown in and agreed on in the Order schedule.
3. The Agreement between both parties shall commence from the date of acceptance of the project schedule by the company (this will be notified by Systems Direct Ltd to the Client/Customer). If payment is made by monthly standing order then the term of payments shall be equal to the length of the term of the Agreement.
4. Additions to the specifications of the initial agreement shall incur additional costs not included in this agreement. The customer is liable to cover these additional costs.
5. Future changes to the specifications are not included in this agreement and therefore shall incur addidtional costs which shall be specified in a new agreement.
6. Systems Direct Ltd shall not be liable for any delay or failure during the course of the project should the delay or failure result from events or circumstances outside its reasonable control. Furthermore, whilst software develops Systems Direct Ltd will use its best endeavours to produce the work in good time, although no warranties can be given.
7. Systems Direct Ltd shall not be liable for claims should the project have completed its course. We are not liable for any infringement of copyright arising from media used to complete the Clients publication.
8. The Client / Customer acknowledges that in entering this Agreement he/she has placed no reliance on any representation or warranty provided (whether oral or in writing) by Systems Direct Ltd or its agents prior to the date of the Agreement.
9. This Agreement contains the whole agreement between both parties. The agreement may only be changed in writing between the parties when specifically referring to the provision of this Agreement.
10. The validity of this Agreement shall be governed in all respects by British Law.
